Acceptance and operator
These Terms of Use & Disclaimer ("Terms") apply to your use of the Legacy Secured Exit website at legacysecuredexit.com (the "site"). The site is operated by THINKERZ LTD, a private limited company registered in Scotland under company number SC778478, whose registered office is at Clyde Offices, 2nd Floor, 48 West George Street, Glasgow, G2 1BP, Scotland ("we", "us"). "Legacy Secured Exit" is a brand operated by THINKERZ LTD.
By accessing or using the site, you agree to these Terms. If you do not agree, please do not use it. Simply visiting the site or contacting us does not create a paid advisory engagement, a client relationship or any mandate.
Purpose of the website
Legacy Secured Exit provides:
- educational information and general guidance on business-exit readiness;
- interactive self-assessments and planning calculators;
- worksheets, checklists and printable reports; and
- general resources, including information about the Legacy Secured Exit book.
It is intended to help business owners think about readiness and options. It is not a brokerage, valuation service, deal platform or solicitation to buy or sell any business or security.
No professional advice or advisory relationship
Content and tools on the site are general information, not professional advice. Nothing on the site constitutes, and should not be relied on as:
- legal advice;
- tax advice;
- accounting or audit advice;
- investment advice;
- pension advice;
- regulated financial advice;
- personalised financial planning;

Exit Readiness Assessment disclaimer
The Exit Readiness Assessment produces an indicative readiness profile based on your self-reported answers. Specifically:
- scores are indicative and depend on the responses you enter;
- results are not an assurance that a business is saleable;
- results do not predict buyer appetite, determine a valuation or guarantee a transaction;
- results are not a substitute for professional vendor due diligence; and
- buyer questions and concerns shown are illustrative and will vary by buyer, sector and transaction.
The word "ready" is not a legal or commercial certification of sale readiness.
Freedom Number Calculator disclaimer
The Freedom Number Calculator is an illustrative personal-planning aid. It is not financial planning, investment advice, retirement or pension advice, tax advice, a projection of investment returns, or a guarantee of the proceeds required for financial security.
Actual requirements can be affected by tax, inflation, investment performance, longevity, spending, pensions, other assets, transaction costs and your personal circumstances. Obtain appropriate professional advice before making financial decisions.
Owner Reliance Audit disclaimer
The Owner Reliance Audit is an indicative operational and readiness self-assessment. It does not:
- quantify a specific valuation discount;
- guarantee transferability;
- determine whether a buyer will require an earnout or deferred consideration; or
- constitute operational due diligence.
Business valuation and ValuSuite
The site may link to separate ValuSuite tools (for example ValuBase and ValuBridge) for specialist valuation or finance queries. These are independent services:
- they have their own terms and privacy notices, which you should review separately;
- using them does not become part of a formal advisory engagement with us merely because they are linked; and
- Legacy Secured Exit itself does not provide a formal valuation through this site.
Your inputs and assumptions
Results depend materially on the accuracy, completeness, currency and reasonableness of the information and assumptions you enter. We do not independently verify your inputs. You remain responsible for evaluating whether any output is appropriate for your circumstances.
Confidential information
The public website and ordinary contact form are not a virtual data room or secure transaction-document exchange. Please do not send through ordinary public forms:
- highly sensitive company or transaction documents;
- personal financial records;
- passwords or banking information; or
- special-category personal data.
Unless we have arranged a suitable secure method with you. Sending information through the site or contact form does not by itself create a non-disclosure agreement, confidentiality agreement, professional engagement or any duty beyond those imposed by applicable law. Any specific confidentiality arrangement requires a separate written agreement.
Downloadable resources and reports
PDFs, worksheets, checklists, printable assessment reports and book samples or resources on the site are provided for informational and internal-planning use. They are subject to the same limitations as the rest of the site unless expressly stated otherwise.
No guarantee
We do not guarantee:
- accuracy or completeness in every circumstance;
- future business value, a sale price, transaction completion, buyer interest or finance availability;
- any tax outcome, succession success or improved valuation; or
- any specific commercial outcome.
Information can become outdated. Please verify important matters independently and with professional advisers.
Intellectual property
We own or licence the Legacy Secured Exit name and branding, the oak-leaf mark, written content, assessment methodology and question wording, calculators, reports, worksheets, graphics, book extracts, downloadable PDFs and the site's code and design, to the extent owned or licensed by us.
Unless expressly stated otherwise, you may use the free resources for your own personal or internal business planning. Without our permission, you must not:
- resell, republish or commercially redistribute them;
- remove copyright or proprietary notices;
- copy substantial parts into competing products or services;
- extract or scrape content by automated means beyond ordinary lawful indexing;
- frame or mirror the site; or
- create unauthorised derivative commercial products.
We do not claim ownership of third-party licensed material. All rights not expressly granted are reserved.
Acceptable use
You must not misuse the site, including by:
- using it for any unlawful purpose;
- introducing malware or other harmful code;
- probing or scanning for vulnerabilities or attempting to access non-public areas or data;
- interfering with the site's operation or security;
- making abusive or excessive automated requests or unauthorised scraping;
- impersonating another person; or
- using the site in a way that infringes third-party rights.
Third-party and external links
The site links to third-party websites and services for convenience and information. We do not control and are not responsible for their content, security, availability, privacy practices or services. A link is not necessarily an endorsement.
Website availability and changes
We may update, change, suspend or remove content or features where reasonably necessary, and tools and methodologies may be updated over time. We do not promise continuous or uninterrupted availability of the site or any tool.
Limitation of liability
To the fullest extent permitted by law, you use the site at your own judgement and risk, and THINKERZ LTD is not responsible for loss arising solely from reliance on general informational website or tool outputs in circumstances where professional advice should reasonably have been obtained.
Where lawfully permitted, we exclude liability for indirect or consequential loss, and for loss of profit, revenue, opportunity, goodwill or data, arising from use of or reliance on the site.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation, and any statutory consumer rights you may have.
These provisions are drafted to be fair and enforceable. If any part is found unenforceable, it will apply to the maximum extent permitted by law. We have not set an arbitrary monetary cap on liability because one has not been verified as appropriate.
Your responsibility
You remain responsible for:
- obtaining professional advice where appropriate;
- validating critical information before relying on it;
- protecting confidential material (see "Confidential information");
- keeping your own copies and backups of reports and resources you generate or download;
- complying with applicable law; and
- your own decisions and actions based on the site's outputs.
Separate professional engagements
If THINKERZ LTD (or anyone acting on its behalf) later provides consulting, advisory, M&A or other professional services, those services require separate written engagement terms. In the event of any conflict, the specific signed engagement terms govern that professional engagement — these website Terms do not act as an engagement letter.
Governing law and jurisdiction
These Terms, and any dispute arising from or connected with the site, are governed by the law of Scotland, and the Scottish courts have jurisdiction over any such dispute — subject to any mandatory consumer rights and any jurisdiction that cannot lawfully be excluded.
General
If any part of these Terms is found unenforceable, the rest remain in force. No failure or delay in enforcing a right is a waiver of that right. We may update these Terms from time to time; the date at the top shows when they were last updated.
